REFFRL Terms of Service

Welcome to REFFRL (“REFFRL”, “we”, “our”, or “us”). These Terms of Service (“Terms”) govern your use of the REFFRL platform, website, mobile application, and related services (collectively, the “Platform”).
By accessing or using REFFRL, you agree to these Terms.
If you do not agree, you must not use the Platform.
- About REFFRL
REFFRL is a referral management platform that connects businesses (“Partners”), individuals or organizations making referrals (“Catalysts”), and prospective customers (“Invitees”).
REFFRL facilitates referral opportunities and payment processing where applicable but is not a party to agreements entered into between users unless expressly stated.
- Eligibility
You must:
- Be at least 18 years old.
- Have the legal authority to enter into contracts.
- Provide accurate and current information.
- Maintain the security of your account.
You are responsible for all activity under your account.
- User Accounts
Users agree to:
- Keep passwords confidential.
- Maintain accurate profile information.
- Promptly update any changes.
- Notify REFFRL of unauthorized access.
REFFRL reserves the right to suspend or terminate accounts that violate these Terms.
- Referral Process
REFFRL provides tools to:
- Submit referrals
- Track referral status
- Communicate referral updates
- Process referral payments where applicable
REFFRL does not guarantee:
- A referral will result in a sale.
- A business will accept a referral.
- A referral fee will be earned.
Referral acceptance and payment remain subject to each Partner’s referral program and agreement.
- Referral Payments
Where REFFRL administers referral payments:
- Businesses agree to pay the referral commission owed upon completion of a qualifying transaction.
- REFFRL may deduct its platform fee before distributing the remaining commission to the Catalyst.
- Payment timelines may vary depending on verification and payment processing.
- REFFRL may withhold payment while investigating suspected fraud or disputes.
Taxes remain the responsibility of each user.
- Business Responsibilities
Businesses agree to:
- Accurately report completed transactions.
- Honor published referral agreements.
- Pay referral commissions owed.
- Provide truthful transaction information.
Providing false information or intentionally avoiding payment may result in account suspension or legal action.
- Catalyst Responsibilities
Catalysts agree:
- Referrals must be genuine.
- Referrals must comply with applicable laws.
- No spam or unsolicited communications.
- No misleading statements.
Catalysts must only submit referrals they are authorized to make.
- Prohibited Conduct
Users may not:
- Commit fraud
- Impersonate others
- Manipulate referral payments
- Submit fake referrals
- Abuse the Platform
- Upload malicious software
- Attempt unauthorized access
- Violate applicable laws
REFFRL may remove accounts without notice for violations.
- Intellectual Property
All Platform content including:
- Logos
- Branding
- Software
- Graphics
- Text
- Design
- Source code
remain the exclusive property of REFFRL Inc.
Users may not copy, reproduce, or distribute REFFRL intellectual property without written permission.
- Privacy
Use of the Platform is also governed by the REFFRL Privacy Policy.
- Third-Party Services
REFFRL may integrate with third-party providers including:
- Payment processors
- Email services
- Identity verification providers
- Analytics platforms
REFFRL is not responsible for third-party services.
- Limitation of Liability
To the fullest extent permitted by law:
REFFRL shall not be liable for:
- Lost profits
- Lost business opportunities
- Indirect damages
- Consequential damages
- Data loss
- Referral disputes
- Business decisions made by users
Use of the Platform is at your own risk.
- Indemnification
Users agree to indemnify and hold harmless REFFRL from claims arising from:
- Violation of these Terms
- Fraudulent referrals
- Breach of law
- Misuse of the Platform
- Account Termination
REFFRL may suspend or terminate accounts for:
- Fraud
- Abuse
- Violation of these Terms
- Illegal activity
- Non-payment
Termination does not eliminate outstanding financial obligations.
- Governing Law
These Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
Any disputes shall be resolved in Ontario courts unless otherwise required by law.
- Changes
REFFRL may update these Terms periodically.
Continued use constitutes acceptance of revised Terms.
